1. Services
eSoft provides professional software development and IT consulting services including, but not limited to:
- Custom software development
- Enterprise ERP systems
- SaaS platform development
- Mobile application development
- Website development
- IT consulting and technical services
All services are provided under mutually agreed project proposals, contracts, or written agreements.
2. Project Agreements & Scope
All projects require a written agreement that clearly defines the scope of work, deliverables, timelines, and payment terms. Any additional features or modifications outside the agreed scope may require a separate agreement and additional charges.
3. Payments & Billing
Payment terms will be defined in individual project agreements. Delayed payments may result in suspension of services. All fees are non-refundable unless otherwise agreed in writing. For SaaS products (where applicable), subscription terms will be clearly communicated before purchase.
4. Intellectual Property
Unless otherwise agreed in writing, upon full payment the client receives ownership of the final delivered software or project deliverables. eSoft reserves the right to showcase non-confidential work in its portfolio. Pre-existing frameworks, tools, libraries, or proprietary systems developed by eSoft remain the intellectual property of eSoft.
5. Confidentiality
We respect client confidentiality. Any sensitive information shared during a project will not be disclosed to third parties without consent, except as required by law. Clients are also expected to maintain confidentiality regarding proprietary methodologies and technical architecture shared by eSoft.
6. Limitation of Liability
eSoft shall not be held liable for indirect or consequential damages, business or revenue loss, or failures caused by third-party services such as hosting providers, payment gateways, or APIs. Our total liability shall not exceed the total amount paid for the specific service under dispute.
7. Third-Party Services
Projects may integrate third-party tools, APIs, hosting services, or software. eSoft is not responsible for policy changes, downtime, or service disruptions caused by such third-party providers.
8. Warranty Disclaimer
All services are provided "as is" unless explicitly stated in writing. While we strive for high-quality and secure systems, we do not guarantee uninterrupted or error-free operation at all times.
9. Termination
Either party may terminate a project as defined in the signed agreement. Work completed up to the termination date will be billed accordingly. Access to services may be revoked if payments remain unpaid.
10. Governing Law & Jurisdiction
eSoft provides services internationally. The applicable laws governing any dispute shall be the laws of the country from which services are primarily provided and operated, unless otherwise agreed in writing within a formal contract. Both parties agree to attempt resolution through negotiation before pursuing legal proceedings.
11. International Services
eSoft operates in the international market and provides services to clients worldwide. Clients are responsible for ensuring compliance with local regulations applicable in their respective jurisdictions.
12. Modifications to Terms
We reserve the right to update or modify these Terms & Conditions at any time. Continued use of our services after any changes constitutes acceptance of the updated terms. We recommend reviewing this page periodically.
